FAQ – CORPORATE & COMMERCIAL

You are not legally required to engage a lawyer to incorporate a company through SSM (Suruhanjaya Syarikat Malaysia). However, a corporate lawyer adds significant value beyond incorporation particularly in drafting a company constitution, shareholders’ agreement, and founders’ agreement that protect all parties from the outset. Many disputes between business partners arise from agreements that were never properly documented. Engaging a lawyer early is far less costly than resolving a dispute later.

A shareholders’ agreement is a legally binding contract between the shareholders of a company that governs how the company is managed, how decisions are made, how shares can be transferred, and what happens if a shareholder wishes to exit. It operates alongside the company constitution and provides protections that the constitution alone cannot. If you have more than one shareholder in your company whether a co-founder, investor, or business partner a shareholders’ agreement is strongly recommended.

A Memorandum of Understanding (MOU) is typically a non-binding document that records the intentions and understanding between two parties before a formal agreement is signed. It does not generally create enforceable legal obligations. A formal agreement such as a joint venture agreement, service agreement, or investment agreement is legally binding and enforceable in court. We advise clients on which type of document is appropriate for their situation and draft both with precision.

Under the Employment Act 1955, certain terms of employment must be provided in writing. Beyond legal compliance, a well-drafted employment contract protects your business by clearly defining the employee’s scope of work, confidentiality obligations, intellectual property ownership, and termination terms. Without a proper contract, disputes over notice periods, IP rights, and non-compete clauses are common. The Personal Data Protection Act 2010 (PDPA) applies to any person or organisation that processes personal data in the course of a commercial transaction in Malaysia. If your business collects customer information — names, phone numbers, email addresses, payment details you are likely required to comply with the PDPA. This includes having a compliant privacy policy, data processing procedures, and in some cases a data protection officer. Non-compliance can result in fines or imprisonment. We advise businesses on PDPA compliance and draft the necessary documentation.
